These Terms of Service govern access to and use of MuntijPro by creators, affiliates, buyers, and visitors. By using our services, you agree to these Terms and related policies incorporated by reference.
1. Eligibility and Account Responsibility
- You must have legal capacity to enter a binding agreement and use the service lawfully.
- You are responsible for all activity under your account and for safeguarding credentials.
- You must provide accurate account, payout, and compliance information and keep it updated.
- We may require identity or business verification to enable or maintain certain features.
2. Platform Role and Service Scope
MuntijPro provides software infrastructure for product sales, affiliate workflows, forms, invoices, campaign tools, and payouts. We are not the merchant of record for every transaction and do not guarantee creator product quality, legality, or fulfillment. Buyers contract primarily with the seller of record unless expressly stated otherwise.
3. Acceptable Use and Prohibited Conduct
You may not use MuntijPro to:
- Violate any law, regulation, sanctions regime, or third-party rights.
- Sell, promote, or distribute illegal, infringing, deceptive, harmful, or fraudulent content.
- Transmit malware, exploit platform vulnerabilities, scrape data at abusive volumes, or bypass access controls.
- Manipulate tracking, fake conversions, self-refer commissions without authorization, or abuse payout systems.
- Send unauthorized bulk messages, spam, or misleading promotional claims.
4. Creator Terms
- Creators are solely responsible for product claims, pricing, taxes, disclosures, and fulfillment obligations.
- Creators must hold all rights necessary to publish content, media, trademarks, and downloadable assets.
- Creators must provide accurate product details, refund terms, and lawful customer communications.
- Creator use of recurring products, forms, and invoices must comply with payment and consumer-protection laws.
5. Affiliate Terms
- Affiliates must promote offers honestly and in compliance with advertising and disclosure laws.
- Affiliates may not use brand impersonation, deceptive claims, forced clicks, cookie stuffing, or spam traffic.
- Commission eligibility is subject to fraud screening, attribution rules, chargeback outcomes, and creator program terms.
- We may reverse, delay, or withhold commissions linked to invalid, refunded, disputed, or policy-violating transactions.
6. Fees, Billing, and Pricing Plans
- Platform fees, subscription charges, and feature limits follow the active plan and published pricing.
- We may change pricing, limits, or plan features with reasonable notice where required.
- Late, failed, or reversed payments may result in feature restriction or account suspension.
- Taxes, levies, and regulatory charges applicable to your business are your responsibility unless stated otherwise.
7. Plan Renewal, Email Credits, and Billing Updates
This section explains how paid creator plans renew and how your monthly email credits are handled when your plan changes or expires. We describe these rules upfront so there is no ambiguity about what happens to your credits and subscriptions.
- Paid plans renew automatically for the same billing cycle you select (monthly or yearly) until you cancel before the end of your current billing period. Where a payment method is on file, the applicable charge is processed at renewal. Late, failed, or reversed payments may restrict features or suspend the account.
- Email credits are a monthly allowance attached to your plan tier. The published tiers are Starter (one-time onboarding grant), Growth, and Scale. Credits you buy separately are credited to your purchased balance and persist separately from your monthly plan allowance.
- Rollover while your plan is active. If you upgrade or downgrade to another paid plan before your current period expires, your remaining email credits carry over and are added to your new plan's monthly allowance. You do not lose your unused allowance in this case.
- Reset after plan expiry. If a paid plan has expired before you switch plans, leftover monthly plan credits from the expired plan are not carried over. Your available balance is reset to your purchased credits plus your new plan's monthly allowance.
- Expiry to the free Starter plan. If you do not renew and your paid plan expires, you are downgraded to Starter. Leftover paid-plan monthly credits expire and are removed; your balance reverts to credits you purchased outright. No recurring allowance is granted on the free tier.
- No refund for unused or reset credits. Monthly plan allowances are not refundable and are not redeemed for cash or account credit if they expire, reset, or are unused at the end of a billing period.
- Platform fees follow your active plan. Starter incurs a per-sale fee; Growth and Scale carry a reduced all-in per-sale fee for NGN purchases with payment processing included. USD purchases incur a flat all-in per-sale fee. Fee exceptions, promos, or legacy pricing may apply and are shown at checkout where relevant.
- We may change pricing, limits, or plan features with reasonable notice where required by law. Continued use after a change takes effect constitutes acceptance of the new terms.
8. AI Growth Agent
The AI Growth Agent is a tool that analyzes your store and may, within the permissions you set, generate drafts or carry out actions on your behalf. By enabling the agent you accept the responsibilities described in this section.
- The agent acts within permissions you grant. You choose an autonomy mode (Assistant, Partner, or Autopilot) and select the tools the agent may touch during onboarding. You are responsible for the permissions you enable.
- Financial actions always require approval. Regardless of mode, actions that change pricing, create coupons, alter commissions, or spend money are gated behind your explicit approval and may be further bounded by limits you set (for example, a maximum discount percentage).
- Autopilot executes within your guardrails. In Autopilot mode, the agent may carry out permitted non-financial actions automatically. Financial actions still require your approval. You can pause or adjust the agent at any time.
- Actions are logged and auditable. The agent records its actions, recommendations, drafts, and approvals so you can review what it did and why. Where possible, agent changes (for example, product page edits) can be reviewed or reversed.
- The agent is not given discretionary judgment over money. It does not independently spend money or finalize pricing without your explicit approval as described above.
- You are accountable for the agent's permitted actions. Because you decide what the agent may do, you are responsible for any action the agent takes within the permissions and limits you configure.
- Agent access follows your plan. AI Agent features and monthly analysis/draft limits are tied to your paid plan. Expiry, downgrade, or plan change may pause the agent or reduce its limits.
9. Payouts, Reserves, and Holds
- Payouts are subject to successful verification, gateway availability, fraud checks, and account standing.
- We may place temporary holds, rolling reserves, or pending review status for risk, dispute, or reconciliation reasons.
- Where required, we may offset chargebacks, reversals, unpaid fees, or liabilities against future payouts.
- Technical or partner outages may delay settlements without creating strict liability for indirect losses.
10. Refunds, Chargebacks, and Disputes
- Refund outcomes may depend on creator policy, applicable law, gateway rules, and anti-fraud review.
- Chargebacks and disputes may trigger account restrictions, evidence requests, and payout holds.
- You agree to cooperate promptly with dispute investigations and provide accurate records when requested.
11. Intellectual Property
- MuntijPro and related software, branding, and content are protected by intellectual property laws.
- You retain ownership of your content, but grant us a non-exclusive license to host, display, process, and distribute it as needed to operate and improve the service.
- You warrant that your content does not infringe third-party rights.
12. Integrations and Third-Party Services
Our platform may integrate with third-party tools (including payment processors and marketing platforms). Your use of those services is governed by their own terms and policies. We are not responsible for third-party downtime, policy changes, or data practices.
13. Suspension and Termination
We may suspend, restrict, or terminate access immediately where we reasonably suspect policy violations, legal risk, fraud, abuse, or payment/default risk. We may preserve data and logs for legal, compliance, and operational reasons after termination.
14. Disclaimer of Warranties
The services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim implied warranties including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free service.
15. Limitation of Liability
To the fullest extent permitted by law, MuntijPro will not be liable for indirect, incidental, special, consequential, punitive, or lost-profit damages arising from or related to use of the services. Our aggregate liability for direct damages is limited to amounts paid by you to MuntijPro in the six months preceding the claim.
16. Indemnification
You agree to defend, indemnify, and hold harmless MuntijPro, its affiliates, and team members from claims, losses, damages, liabilities, and costs (including legal fees) resulting from your content, conduct, law violations, or breach of these Terms.
17. Governing Law and Jurisdiction
These Terms are governed by the laws of the Federal Republic of Nigeria. Subject to applicable law, disputes shall be submitted to courts of competent jurisdiction in Lagos State, unless otherwise required by mandatory consumer law.
18. Changes to Terms
We may update these Terms periodically. Continued use after changes become effective constitutes acceptance of the revised Terms.
